VIDEO RECORDING, MEDIA RELEASE & BUSINESS PARTICIPATION AGREEMENT
1. PARTIES
This Video Recording, Media Release & Business Participation Agreement (“Agreement”) is entered into between Via Vibes Inc., operating as Hello Business Network (“Via Vibes Inc.”, “Hello Business Network”, “we”, “our”, or “us”) and the undersigned Business (“Business”).
Hello Business Network is a division, trade name, and marketing brand of Via Vibes Inc. All services, agreements, memberships, recordings, publications, and business activities conducted under the name Hello Business Network are owned, managed, and administered exclusively by Via Vibes Inc.
PURPOSE
The purpose of this Agreement is to authorize Via Vibes Inc. to record, photograph, interview, publish, and promote the Business through Hello Business Network.
TERMS AND CONDITIONS
1. Consent to Record
The Business voluntarily authorizes Via Vibes Inc. to photograph, video record, audio record, interview, and otherwise capture media involving:
- Business owners / Managers / Authorized representatives
- Business premises
- Products & Services
- Equipment
- Signage / Interior and exterior views / Promotional materials
2. Permission to Publish
The Business grants Via Vibes Inc. permission to publish, edit, reproduce, archive, distribute, transmit, display, advertise, promote, and otherwise use the recorded content for lawful business purposes.
Publication may include, but is not limited to:
- Hello Business Network YouTube Channel
- Hello Business Network Website
- Online Business Directory
- Facebook / Instagram / LinkedIn / TikTok / WhatsApp
- Email Marketing / Digital Advertising / Printed Marketing Material
- Television / Future media platforms owned or operated by Via Vibes Inc.
3. Ownership of Content
All recordings, interviews, photographs, audio recordings, raw footage, edited videos, thumbnails, graphics, captions, promotional material, and all related intellectual property created by or on behalf of Via Vibes Inc. shall remain the exclusive property and copyright of Via Vibes Inc.No ownership rights are transferred to the Business unless expressly agreed in writing.
4. License to Use Business Identity
The Business grants Via Vibes Inc. a perpetual, worldwide, royalty-free, non-exclusive license to use the Business name, logos, trademarks, signs, photographs, products, services, and promotional material in connection with the recorded content and the promotion of Hello Business Network.
5. Accuracy of Information
The Business confirms that all statements, pricing, claims, certifications, product descriptions, and promotional information provided during the recording are accurate to the best of its knowledge. The Business accepts sole responsibility for all representations made during the interview.
6. Independent Business Relationship
The Business acknowledges that Hello Business Network is solely a marketing, networking, and promotional platform. Participation does not constitute:
- Partnership / Joint Venture / Agency / Employment / Franchise / Endorsement / Certification
between the Business and Via Vibes Inc.
7. Customer Transactions
The Business acknowledges that all transactions between the Business and its customers, suppliers, vendors, contractors, employees, visitors, or any third party are solely the responsibility of those parties.
Via Vibes Inc., Hello Business Network, its owners, directors, officers, employees, contractors, volunteers, affiliates, successors, and assigns are not parties to any transaction and shall not be responsible or liable for any:
- Financial loss / Property damage / Personal injury
- Product defects / Service issues
- Refunds / Warranties / Contracts / Misrepresentations / Customer complaints
- Business disputes / Legal claims / Consequential damages
8. Compliance with Laws
The Business agrees that it is solely responsible for complying with all applicable federal, provincial, and municipal laws, regulations, licensing requirements, and consumer protection obligations.
9. Limitation of Liability
To the fullest extent permitted by applicable law, the Business releases and holds harmless Via Vibes Inc., Hello Business Network, its directors, officers, employees, contractors, volunteers, and representatives from claims arising from the lawful recording, editing, publication, or use of the content in accordance with this Agreement. Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.
10. Indemnification
The Business agrees to indemnify and hold harmless Via Vibes Inc. from claims arising from inaccurate information, unauthorized use of third-party material supplied by the Business, or the Business’s own products, services, or business activities, to the extent permitted by law.
11. No Compensation
Unless otherwise agreed in writing, participation in Hello Business Network does not entitle the Business to compensation, royalties, licensing fees, or other payments.
12. Removal and Suspension of Content
Via Vibes Inc., operating as Hello Business Network, reserves the sole and absolute right, at its discretion, to remove, suspend, edit, unpublish, restrict, or discontinue any video, interview, business listing, photograph, advertisement, social media post, directory listing, promotional content, or other material relating to the Business from any platform owned or operated by Via Vibes Inc., at any time and for any reason, with or without prior notice.
The Business acknowledges and agrees that Via Vibes Inc. is under no obligation to continue displaying, publishing, promoting, or maintaining any content or business listing for any specific period of time.
The Business further agrees that the removal or suspension of any content or listing shall not give rise to any claim for compensation, damages, loss of business, loss of profits, loss of goodwill, or any other liability against Via Vibes Inc., except where such rights cannot be excluded under applicable law.
13. Privacy
The Business consents to Via Vibes Inc. collecting and using the contact information provided in this Agreement for communication, directory listings (where applicable), and administration of Hello Business Network.
14. Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the recording and use of the content and supersedes all prior discussions relating to its subject matter.
Any amendment must be made in writing and signed by both parties.
15. Governing Law
This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
OPTIONAL RECORDING AUTHORIZATION
- Permission to record inside the business
- Permission to record employees
- Permission to record products
- Permission to record business logo
- Permission to record exterior signage
- Permission to publish on YouTube
- Permission to publish on social media
- Permission to publish on Hello Business Network website
- Permission to include the Business in the online directory
ACKNOWLEDGEMENT
By signing below, I confirm that:
- I am the owner or an authorized representative of the business.
- I have read and understood the Hello Business Network Membership Terms & Conditions.
- I have read and understood the Media Consent & Release Form.
- I authorize Hello Business Network, a division of Via Vibes Inc., to publish my business information, photographs, video, and audio recordings as described in the Media Consent & Release.
- I understand that Via Vibes Inc. retains ownership of all original photographs, videos, recordings, and related content it creates, unless otherwise agreed in writing.
- I understand that Via Vibes Inc. may remove or discontinue my business listing, media content, or membership in accordance with the Membership Terms & Conditions.
- I confirm that the information I have provided is accurate and complete.
- I understand that by clicking “Register” or “Submit”, my electronic acceptance is intended to have the same effect as my signature.
